Terms and Conditions of Sale

1. Recipients of the Sale


The sale is reserved exclusively forprofessional operators and businessesholding avalid VAT number.

By confirming the order, the Customer declares under their own responsibility that they are purchasing the goodsfor professional purposes, for the purpose of resale or use within their own business.

Orders placed by individuals without the required qualifications will be canceled.

2. Nature of the B2B Contract and Acceptance of the Terms


The submission of the order by the Customer constitutes abinding contractual proposalpursuant to Articles 1326 and following of the Civil Code.

The B2B contract between the Customer and[Company Name]is considered perfected and effective only upon the occurrence of one of the following conditions:

  1. Order confirmation sent by [FlavoryWay] to the Customervia email or other traceable means;

  2. Execution of the order, through preparation or shipment of the goods;

  3. Payment of the order, if required in advance, considered as acceptance of these Terms of Sale.

By accepting the contract, the Customer confirms:

  • that they have read and understood all these conditions;

  • that they fully and unreservedly accept the contractual clauses;

  • to waive any personal conditions not previously agreed upon in writing with[Company Name].

3. Catalog and availability


The products offered are Italian and multi-ethnic snacks intended for resale.

Availability may vary based on stock, import, or market.

[Company Name]reserves the right to modify, update, or replace equivalent products if an item is not available, subject to agreement with the Customer.

4. Prices and economic conditions


All prices areexcluding VAT, unless otherwise stated.

Prices may be updated without notice for market reasons (import, raw materials, fuel, customs).

Any customized price lists are valid only if confirmed in writing.

5. Orders and minimum quantities


Each order is binding for the Customer from the moment of sending.

[Company Name]may refuse incomplete, unusual, or inconsistent orders with the declared professional activity.

If there is aminimum order, it will be communicated in the product sheets or during registration (I can include it if you indicate it to me).

6. Payments


Accepted payments may include:

  • Bank transfer

  • Credit/debit card

Contract clause:

In case of advance payment, the contract is considered perfectedupon receipt of payment, which constitutes full acceptance of these Terms.

Failure to pay within the agreed terms entitles[FlavoryWay]to:

  • suspend subsequent supplies,

  • charge any late payment interest,

  • cancel the order.

7. Shipping and transfer of risk


  • Shipments are made via national/international couriers.

  • Shipping costs are the responsibility of the Customer unless otherwise agreed.

Transfer of risk(B2B contractual clause)

According to Article 1510 of the Civil Code and commercial regulations:

The risk of loss or damage to the goods passes to the Customer at the moment the shipment is handed over to the carrier, even if the shipment is freight prepaid.

The goods can only be insured at the Customer's request.

Any damages or breakages must be reportedto the carrier with a reservation on the delivery noteand communicated to[Company Name]within 24–48 hours.

8. Returns and complaints


Returns of perishable food products are not accepted, except for recognized defects or errors attributable to[Company Name].

Complaints are only accepted within48 hours of delivery, with photographic evidence.

9. Warranties


The products comply with current hygiene and food safety regulations.

The Client is responsible for the proper storage after delivery.

10. Limitation of liability


[FlavoryWay]is not responsible for:

  • failure to resell the products,

  • loss of profit,

  • deterioration due to improper storage,

  • delays attributable to the carrier.

11. Applicable law and competent court


The contract is governed byItalian law.

For any disputes between businesses, the exclusive jurisdiction is theCourt of [Your City/Province], unless otherwise provided by mandatory law.
